To provide legal support and strategic legal advice to the Asset Management business, including private equity investments, listed securities investments, capital markets transactions, fund formation and capital raising activities, regulatory matters and portfolio management activities, while ensuring compliance with applicable laws and regulations and effectively managing legal risks.

KEY RESPONSIBILITIES AND ACCOUNTABILITIES:

Investment Transactions

• Provide legal advice on investment transactions, including transaction structuring, legal risk assessment and regulatory considerations
• Support the execution of private and listed investment transactions from inception through closing
• Work closely with investment teams, external counsel, financial advisors and counterparties throughout the transaction lifecycle
• Participate in transaction negotiations and manage legal workstreams to facilitate successful execution

Fund Formation and Fundraising

• Provide legal support for fund formation, structuring and capital raising activities
• Draft, review and negotiate fund-related documentation, including offering materials, subscription documents and investor agreements
• Advise on legal and regulatory matters relating to fundraising activities and investor onboarding

Legal Documentation and Advisory

• Draft, review and negotiate transaction and commercial documents, including NDAs, LOIs, MOUs and other legal agreements.
• Provide legal advice on corporate, securities, investment management, commercial and other legal matters relevant to the Asset Management business.

Disputes and External Counsel Management

• Support dispute avoidance, pre-dispute negotiations, settlement discussions and mediation processes.
• Coordinate and manage external counsel in connection with transactions, disputes, litigation, arbitration and regulatory matters.
• Review legal opinions, due diligence reports and other work products prepared by external advisors.

QUALIFICATIONS:

• Bachelor’s Degree in Law (LL.B.)
• Qualified lawyer and/or holder of a practicing certificate is preferred
• Minimum seven years of relevant experience at a reputable law firm, financial institution, fund management company, investment firm or multinational corporation
• Strong experience in investment transactions, mergers and acquisitions, foreign investment, securities and corporate/commercial matters
• Sound understanding of securities regulations, fund management regulations and capital market transactions
• Excellent legal drafting, negotiation and analytical skills
• Strong commercial mindset with the ability to balance legal risks and business objectives
• Fluent in English, especially writing and speaking
• Ability to manage multiple matters simultaneously and work effectively under tight deadlines
• Self-motivated, detail-oriented and capable of working independently while collaborating effectively with cross-functional teams.
